Terms of Service

"Travel Advisor" or "Agent" means a registered travel professional using the Platform to submit client travel requests and receive quotes from Operators. "Tour Operator" or "Operator" means a registered travel supplier using the Platform to view travel requests, submit quotes, and promote their services. "User" means any individual or entity that accesses or uses the Platform, including Agents and Operators. "Credits" means the digital tokens purchased by Operators and used to claim travel request leads or access certain Platform features. "Bidex Compare™" means Bidexglobal's proprietary quote comparison tool that standardises and presents supplier quotes to Travel Advisors. "Content" means any information, data, text, images, or other material submitted to or displayed on the Platform.

2.1 You must be at least 18 years of age and have the legal authority to enter into binding contracts to use the Platform. 2.2 You must register for an account to access most Platform features. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. 2.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. 2.4 Bidexglobal reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, including for violation of these Terms.

3.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms. 3.2 You must not: (a) Use the Platform to transmit spam, unsolicited communications, or fraudulent content; (b) Impersonate any person or entity or misrepresent your affiliation with any person or entity; (c) Attempt to gain unauthorised access to any part of the Platform or its related systems; (d) Scrape, crawl, or otherwise extract data from the Platform without our express written consent; (e) Use the Platform to engage in any activity that is illegal, harmful, or that infringes the rights of others; (f) Circumvent or attempt to circumvent the Credits system or any Platform billing mechanism. 3.3 Bidexglobal reserves the right to monitor Platform activity and to remove any Content that violates these Terms.

4.1 Operators must purchase Credits to claim travel request leads and access certain features of the Platform. Credit packages are available as described on the Platform's pricing page. 4.2 Credits are non-refundable once purchased, except as required by applicable law or as expressly stated in a separate written agreement with Bidexglobal. 4.3 Credits have no cash value and may not be transferred, sold, or exchanged outside the Platform. 4.4 Bidexglobal reserves the right to modify the Credit pricing, packages, and the features accessible via Credits at any time, with reasonable notice to affected users. 4.5 Unused Credits do not expire, unless your account is terminated for breach of these Terms, in which case all Credits are forfeited.

5.1 Bidex Compare™ is a proprietary tool that standardises and presents Operator quotes to Travel Advisors in a comparable format. Bidexglobal does not guarantee the accuracy, completeness, or competitiveness of any quote submitted through the Platform. 5.2 Bidexglobal acts solely as a technology intermediary. We are not a party to any booking, contract, or transaction between a Travel Advisor and an Operator. All bookings are made directly between the Travel Advisor (or their client) and the Operator. 5.3 Operators are solely responsible for the accuracy and completeness of their quotes, including pricing, inclusions, availability, and terms. 5.4 Travel Advisors are solely responsible for evaluating quotes and for the advice they provide to their clients.

6.1 The Platform, including all software, design, trademarks, logos, and content created by Bidexglobal (including Bidex Compare™), is owned by or licensed to Bidexglobal and is protected by applicable intellectual property laws. 6.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes in accordance with these Terms. 6.3 You retain ownership of Content you submit to the Platform. By submitting Content, you grant Bidexglobal a worldwide, royalty-free, non-exclusive licence to use, reproduce, and display such Content solely for the purpose of operating and improving the Platform. 6.4 You must not reproduce, distribute, modify, or create derivative works of any Bidexglobal content without our prior written consent.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

8.1 The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 8.2 Bidexglobal does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. 8.3 To the maximum extent permitted by applicable law, Bidexglobal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform. 8.4 Bidexglobal's total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the total amount paid by you to Bidexglobal in the twelve (12) months preceding the claim, or (b) CAD $100.

You agree to indemnify, defend, and hold harmless Bidexglobal and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any Content you submit to the Platform.

10.1 You may terminate your account at any time by contacting us at [email protected]. 10.2 Bidexglobal may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms. 10.3 Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 8, 9, and 11.

11.1 These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. 11.2 Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario). 11.3 Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

Bidexglobal reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
